These Terms and Conditions ("Terms" or this "Agreement") form a legally binding agreement between you, whether acting personally or on behalf of an entity ("you", "your" or "Merchant"), and HERE LIMITED, with registered office at 17 Gresse Street, W1T 1QL London, United Kingdom, company registration number 05659314, VAT identification number —, which operates the Here platform ("Here", "we", "us" or "our"). They govern your access to and use of the Here platform, dashboard, application programming interface (API) and all related services and features available at https://onhere.net/ (together, the "Platform" and the "Services").
By clicking to accept, creating an account, or otherwise accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Platform. If you accept on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1. DEFINITIONS
"Account" means the merchant account you register on the Platform. "API" means our application programming interface and related developer tools. "Balance" means the net amount of your successful transactions after Commission, less payouts requested or paid. "Commission" means our platform fee, consisting of a fixed amount plus a percentage, charged on each successful transaction. "Content" means all software, text, graphics, designs, trademarks and other materials that form part of the Platform. "Customer" means a person who makes a payment to you through the Services. "Live mode" means the environment in which real payments are processed. "Payout" means a transfer of your available Balance to your designated bank account. "Sandbox" or "Test mode" means the environment in which no real money moves. "Services" means the features described in Section 7. "Verification" means identity and, for business accounts, company verification.
2. ELIGIBILITY
You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you register as a business, you represent that you are duly organized and validly existing, and that the individual completing registration is authorized to act on the business's behalf. The Platform is intended for business and professional use and not for personal, household or consumer use by the Merchant. You may not use the Platform if you are barred from doing so under any applicable law or if your access has previously been suspended or terminated by us.
3. ACCOUNT REGISTRATION AND SECURITY
To use the Services you must create an Account and provide accurate, complete and current information, including your name, contact details and, for business accounts, company and representative information. You agree to keep this information up to date at all times. You are solely responsible for maintaining the confidentiality of your credentials (including passwords, passkeys, API keys and any connected sign-in methods such as Google) and for all activity that occurs under your Account, whether or not authorized by you. You must notify us without undue delay by e-mail at info@onhere.net if you suspect any unauthorized access to or use of your Account. We are not liable for any loss arising from your failure to safeguard your credentials.
4. ACCOUNT APPROVAL AND OPERATING MODES
New Accounts operate in Sandbox (test) mode, in which you can integrate and test the Services without moving real money. Before you can accept real payments, your Account must be reviewed and approved by an administrator, which unlocks Live mode and generates your live API keys. Approval is granted at our sole discretion and may be conditioned on the outcome of Verification and our risk assessment. We may refuse, delay, suspend, condition or revoke approval, and may move an Account back to Sandbox, at any time and for any lawful reason, including risk, fraud, compliance or verification concerns. 5. IDENTITY AND BUSINESS VERIFICATION
As a condition of using certain Services, you agree to complete identity Verification and, for business accounts, company Verification, and to provide accurate information and valid, current documents when requested (which may include identity documents, a selfie, a certificate of incorporation, a sole trader certificate or a business licence). You authorize us and our verification providers to collect, use and verify this information, including by checking it against official registries and third-party sources. We may re-request Verification, or request additional information, at any time. Certain features, including Payment Links and the Virtual Terminal, become available only once your Account is fully verified. We may restrict or suspend Services if Verification is incomplete, expired or unsuccessful. We may request additional verification, information or documentation from you at any time and for any reason, and we may restrict, suspend or withhold Services, funds or Payouts until any such request is completed to our satisfaction.
6. THE SERVICES
Subject to these Terms, we make available features that may include, without limitation: (a) accepting payments programmatically through the API; (b) creating shareable Payment Links, each of which directs Customers to a secure hosted checkout page for a fixed amount, and which may be one-time or reusable; (c) taking card-not-present payments through the Virtual Terminal by keying in a Customer's card details; (d) receiving real-time event notifications at your endpoints through webhooks; (e) viewing and managing your transactions, refunds and payouts in the dashboard; (f) managing API keys and developer settings; and (g) requesting payouts of your Balance to your bank account. Card details entered through the Virtual Terminal or the hosted checkout page are validated but are never stored by us. The specific Services available to you depend on your Account status, Verification and any settings we apply. These articles form part of the documentation for the Services but do not override these Terms; if there is any conflict, these Terms prevail.
We specialise in online payments and we welcome high-risk businesses. Many business types that traditional banks or payment processors decline may be accepted, and you do not need separate approval or permission from a bank to begin. Onboarding is automated and, once your Account is approved, you can typically start accepting payments within approximately thirty (30) minutes. Acceptance of a high-risk business does not limit our rights under these Terms: we may request additional verification at any time, apply reserves, and hold or withhold funds while any review or investigation is completed, and the prohibitions in Section 13 (Prohibited and Restricted Businesses) continue to apply at all times. 7. FEES, COMMISSION AND TAXES
We charge a Commission on each successful transaction, consisting of a fixed amount plus a percentage, as configured for your Account. The Commission is deducted from each successful transaction, and the resulting net amount is credited to your Balance. You can view the Commission and net amount for each transaction in your dashboard. Our support articles on Transactions (https://onhere.net/support/#transactions) and Payouts (https://onhere.net/support/#payouts) explain how the Commission, the net amount and your balance are calculated. We may introduce, change or remove fees, including the Commission, on prior notice to you by e-mail; the revised fees apply to transactions occurring after the effective date of the change. You are responsible for determining, collecting, reporting and remitting all taxes, duties and levies associated with your business and your use of the Services, and our fees are exclusive of any such taxes unless stated otherwise.
8. CURRENCY
The official currency of the Platform is EUR. Unless expressly stated otherwise, all amounts, prices, Balances, Commissions, fees, refunds and Payouts are denominated, calculated and settled in EUR.
9. BALANCE, RESERVES AND PAYOUTS
Your Balance reflects the net proceeds of your successful transactions after Commission, less Payouts you have requested or that have been paid. You may request a Payout of your available Balance to a verified bank account, subject to a minimum Payout amount and any other payout parameters we set from time to time, which are shown in your dashboard and described in our Payouts (https://onhere.net/support/#payouts) and Bank account (https://onhere.net/support/#bank) support articles. You may not request more than your available Balance. Payouts are reviewed before they are executed and may be approved, delayed, reduced or rejected for risk, fraud, compliance, Verification or legal reasons. We may establish reserves, hold funds, or set off amounts you owe us (including negative balances, reversed transactions, refunds and fees) against your Balance or Payouts. Bank accounts are auto-approved for payout purposes, but we may require re-verification of banking details at any time. We may hold, freeze or retain funds in your Balance for an indefinite period, and delay, reduce or withhold any Payout, until any investigation, dispute, chargeback, risk or fraud review, or regulatory or legal matter is fully concluded to our satisfaction, and we are under no obligation to pay you interest on any funds held.
10. REFUNDS, REVERSALS AND DISPUTES
You are responsible for your relationship with your Customers, including delivering goods and services, honouring your refund and cancellation policies, and resolving Customer complaints and disputes. Where a transaction is refunded, reversed, disputed or found to be unauthorized, fraudulent or erroneous, we may debit the corresponding amount (together with any related fees) from your Balance or future Payouts, or invoice you for it. You agree to cooperate with us and provide any information we reasonably request in connection with any dispute, investigation or reconciliation.
11. YOUR REPRESENTATIONS AND WARRANTIES
You represent and warrant, on an ongoing basis, that: (a) all information you provide is true, accurate, current and complete; (b) you have all rights, licences and authorizations necessary to operate your business and to use the Services; (c) your use of the Services and your business comply with all applicable laws; (d) you are not using the Services to facilitate any illegal, fraudulent or prohibited activity; and (e) you have the authority to enter into these Terms.
12. ACCEPTABLE USE
You agree not to, and not to permit any third party to: use the Platform for any unlawful, fraudulent, deceptive or misleading purpose; launder money or finance illegal activity or terrorism; sell or facilitate prohibited or restricted goods or services; infringe the intellectual property, privacy or other rights of any person; upload or transmit malware or malicious code; probe, scan, overload, disrupt or attempt to gain unauthorized access to the Platform, other accounts or our systems; misrepresent your identity or affiliation; circumvent our security, Verification, fees or usage limits; scrape or harvest data except through the API as permitted; or use the Services in any manner that could damage, disable or impair the Platform or interfere with any other party's use of it. We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending features, withholding funds, or suspending or terminating your Account.
13. PROHIBITED AND RESTRICTED BUSINESSES
You may not use the Services in connection with any business, activity, product or service that is illegal, that we reasonably consider to present an unacceptable legal, regulatory, reputational or financial risk, or that a bank, card network or financial partner prohibits or restricts. We may, at our discretion, decline to support, or cease supporting, any category of business or transaction, and we may request information to confirm the nature of your business at any time.
14. ANTI-MONEY-LAUNDERING AND SANCTIONS
You agree to comply with all applicable anti-money-laundering, counter-terrorist-financing, sanctions and know-your-customer laws. You represent that you, your business, your owners and your representatives are not the subject of any sanctions and are not located in a sanctioned or embargoed jurisdiction. We may screen you and your transactions, request supporting information, delay or block transactions or Payouts, and report activity to competent authorities where required by law, without liability to you.
15. DATA PROTECTION AND PRIVACY
Our collection and processing of personal data is described in our Privacy Policy. You agree to comply with all data-protection laws applicable to your business, to have a lawful basis for any personal data you provide to us or process through the Services, and to provide your Customers with all required notices. Each party will implement appropriate technical and organizational measures to protect personal data.
16. CONFIDENTIALITY
"Confidential Information" means non-public information disclosed by one party to the other in connection with the Services, including API keys, signing secrets, security details and non-public features. The receiving party will protect Confidential Information with at least reasonable care, use it only to exercise its rights and perform its obligations under these Terms, and not disclose it except to personnel and providers who need to know it and are bound by confidentiality. This section does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
17. API AND DEVELOPER TERMS
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the API solely to integrate and use the Services for your own business. You agree to: keep your secret keys and signing secrets confidential; secure your integration, servers and webhook endpoints; validate webhook signatures; respect applicable rate limits and technical requirements; and not use the API to build a product that competes with the Platform. You are responsible for all activity conducted with your API keys. We may modify, deprecate or discontinue any part of the API, and we may revoke keys that are compromised, misused or used in breach of these Terms.
18. INTELLECTUAL PROPERTY
The Platform and all Content are owned by HERE LIMITED or its licensors and are protected by intellectual-property and other laws. Except for the limited licence expressly granted to you, no rights are granted to you in the Platform or Content. You may not copy, modify, distribute, sell, lease, sublicense, publicly display, create derivative works from, decompile, disassemble or reverse-engineer any part of the Platform, except to the extent such restriction is prohibited by applicable law. If you provide us with feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction.
19. THIRD-PARTY SERVICES
The Platform may integrate with, or rely on, third-party services (such as identity-verification, e-mail delivery, hosting, notification and banking partners). We are not responsible for third-party services, and your use of them may be subject to their own terms. We do not warrant and will not be liable for any third-party service.
20. SERVICE AVAILABILITY AND CHANGES
We strive to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may add, modify, suspend or discontinue any feature of the Platform, in whole or in part, at any time. We may set and enforce limits on your use of the Services (such as rate limits and transaction limits) and may change them at our discretion.
21. SUSPENSION, WITHHOLDING AND TERMINATION
You may stop using the Platform at any time. We may suspend, restrict or terminate your access to all or part of the Services, withhold or delay Payouts, reverse or refuse transactions, close your Account, or require additional information, where we reasonably believe that: there is fraud, a security risk or misuse; you have breached these Terms or any applicable law; a Verification, banking or compliance requirement is not met; or such action is required to protect us, our partners, our users or the public. Where practicable and lawful, we will notify you; in urgent cases we may act first and notify afterwards.
22. EFFECT OF TERMINATION
On termination or expiry of these Terms: your right to access and use the Services ends immediately; we may deactivate or delete your Account and data, subject to any legal retention obligations; and any amounts you owe us become immediately due. Subject to our rights of set-off, reserve and withholding, and to applicable law, we will make your remaining Balance available for Payout to a verified bank account. Sections that by their nature should survive termination (including fees owed, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive.
23. DISCLAIMERS OF WARRANTIES
The Platform and Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or uninterrupted or error-free operation, to the maximum extent permitted by law. We do not warrant that the Platform will meet your requirements or that any defects will be corrected.
24. LIMITATION OF LIABILITY
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or relating to the Platform or these Terms, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Platform or these Terms will not exceed the total Commission you paid to us in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
25. INDEMNIFICATION
You agree to indemnify, defend and hold harmless HERE LIMITED, its affiliates and their respective officers, directors, employees and agents from and against any claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: your use of the Platform; your products, services or business; your breach of these Terms or of any law; your infringement of any third-party right; or any dispute with a Customer.
26. FORCE MAJEURE
We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, failures of banks, card networks, telecommunications or internet providers, power failures, cyber-attacks, or governmental or regulatory action.
27. CHANGES TO THESE TERMS
We may amend these Terms from time to time. The date of the latest revision is shown above. Where changes are material, we will notify you by e-mail and/or through the Platform. Changes take effect on the stated effective date, and your continued use of the Platform after that date constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Platform and may close your Account.
28. NOTICES AND COMMUNICATIONS
All official communication between you and us takes place by e-mail. You consent to receive notices, agreements, disclosures and other communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Notices to you are sent to the e-mail address on your Account, and you are responsible for keeping it current. Notices to us must be sent to info@onhere.net. 29. ASSIGNMENT
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent, and any attempted assignment in breach of this section is void. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization or sale of assets.
30. SEVERABILITY, WAIVER AND ENTIRE AGREEMENT
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with the Privacy Policy and any additional terms we make available for specific features, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements and understandings.
31. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by the laws applicable at the registered seat of HERE LIMITED, without regard to conflict-of-law rules, and the courts of that seat have exclusive jurisdiction, unless a mandatory law grants you the right to bring proceedings in another forum. Before commencing any formal proceedings, the parties will attempt in good faith to resolve the dispute by e-mail.

Privacy Policy
HERE LIMITED ("we", "us", or "our") operates Here, a payments platform available at https://onhere.net/. This Privacy Policy explains how we collect, use, disclose and safeguard your personal data when you use our platform and services, and describes your rights in relation to that data. By creating an account or using Here, you acknowledge that you have read and understood this Privacy Policy.
1. WHO WE ARE

We are the data controller responsible for your personal data. For any privacy-related question or to exercise your rights, contact us by e-mail at info@onhere.net. We communicate with our users exclusively by e-mail.
2. SCOPE OF THIS POLICY
This Policy applies to personal data we process about account holders (merchants) who register for and use Here, visitors of our website, and individuals whose data we receive in connection with a payment (for example, a customer paying through a hosted checkout page or a payment link). It does not apply to third-party websites or services that we do not control.
3. PERSONAL DATA WE COLLECT
We collect the following categories of personal data:
- Account data: first and last name, e-mail address, telephone number, date of birth, sex, country and postal address, and the password you set (stored only as a secure hash).
- Business data: for business accounts, the company name, legal form, registration number, VAT identification number, industry, registered office address, and the name, role, e-mail and telephone of an authorized representative.
- Verification data: information and documents you submit for identity and company verification, including images of identity documents, a selfie, and official company documents (such as a certificate of incorporation, sole trader certificate or business licence).
- Payment and transaction data: the amount, currency, description, status, mode (test or live) and time of each transaction, together with related refunds, payouts and the bank account details (account holder and IBAN) you provide for payouts.
- Technical data: IP address, device and browser information, and session and log records generated when you use the platform.
- Communications: the content of e-mails and support requests you send to us.
We do not store full payment card numbers. Card details entered in the virtual terminal or on a hosted checkout page are validated but not retained by us.
4. HOW WE USE YOUR DATA AND OUR LEGAL BASES
We process your personal data to: provide, operate and maintain the platform and your account (performance of a contract); verify your identity and business and comply with applicable financial, anti-money-laundering and know-your-customer obligations (legal obligation and legitimate interests); process payments, calculate our commission, maintain your balance and execute payouts (performance of a contract); detect, prevent and investigate fraud, abuse and security incidents (legitimate interests and legal obligation); communicate with you about your account, transactions and support requests by e-mail; improve and secure the platform (legitimate interests); and comply with legal and regulatory requirements and defend legal claims.
5. PAYMENTS AND FINANCIAL DATA
Here facilitates the processing of payments. The official currency of the platform is EUR, and unless otherwise stated all amounts, balances, commissions and payouts are expressed in EUR. We process transaction and bank account data to operate these services, to calculate and deduct our platform commission from each successful transaction, and to make payouts to the bank account you designate.
6. IDENTITY AND BUSINESS VERIFICATION
To meet our legal and risk-management obligations, we and our verification providers process the identity and company information and documents you submit. Verification results and the confirmed data (such as your name, sex and date of birth) may be recorded on your account.
7. HOW WE SHARE YOUR DATA
We do not sell your personal data. We share it only: with service providers that help us operate the platform (for example identity-verification, e-mail delivery, hosting and notification providers), acting on our instructions and bound by confidentiality; with banks, payment institutions and financial partners as necessary to process payments and payouts; where required by law, regulation, court order or a competent authority, or to protect our rights, users or the public; and in connection with a merger, acquisition or reorganization, subject to appropriate safeguards.
8. INTERNATIONAL TRANSFERS
Where personal data is transferred outside your country or the European Economic Area, we take appropriate safeguards required by applicable law (such as standard contractual clauses) to protect it.
9. DATA RETENTION
We retain personal data for as long as your account is active and thereafter for the period required to comply with our legal, accounting, tax and anti-money-laundering obligations, to resolve disputes and to enforce our agreements. When data is no longer needed, we delete or anonymize it.
10. SECURITY
We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure or destruction, including encryption of secrets, hashed passwords, access controls and audit logging. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
11. YOUR RIGHTS
Subject to applicable law, you have the right to access your personal data; to have inaccurate data corrected; to have your data erased; to restrict or object to certain processing; to data portability; and to withdraw consent where processing is based on consent. 12. COOKIES
We use strictly necessary cookies and similar technologies to keep you signed in, secure your session and operate the platform. These are essential to providing the service.
